These Terms govern your use of HOIST and our migration services. By signing up, paying, or otherwise using the service, you agree to them.
1. What we do
HOIST provides fixed-scope Shopify migration services. The exact scope of each engagement is captured in a Statement of Work (SOW) signed before kickoff. Anything outside the SOW is handled via a written Change Order at $80–$150/hour.
2. Pricing & payment
- Prices listed on the website are in USD.
- Migration Audit ($1,500): charged at order. Credits 100% toward a Core Migration if you proceed within 60 days.
- Core Migration ($15K–$25K): billed 50% at kickoff, 40% on staging approval, 10% seven days after Go-Live.
- Stripe processes all payments. We never see your full card data.
3. Our SLA (Service Level Agreement)
For Core Migration projects we commit to:
- Data integrity ≥ 99.5% (products, variants, customers, orders).
- 301 redirect coverage = 100% of legacy URLs in the SOW.
- Zero P0/P1 bugs on the critical purchase path at Go-Live.
- Launch within the agreed 21-day window (or extension we agreed to).
- 24-hour rollback capability if a critical issue is discovered post-launch.
- Hypercare response under 4 business hours for 30 days after launch.
We do not commit to business metrics (revenue, traffic, conversion). Those depend on many things outside our control.
4. Refund & cancellation
- Before Day 5: full refund minus actual hours worked at $150/hour.
- Day 5–15: 50% refund of payments made to date.
- After Day 15: no refund, but we hand off all artifacts (data exports, 301 map, theme files) so you can finish elsewhere.
- If we miss the SLA in §3, you get a full refund of the failing milestone plus rollback assistance.
5. Your responsibilities
- Provide store credentials, brand assets, and a primary point of contact within 48h of kickoff.
- Approve or comment on staging within 5 business days. Otherwise the Go-Live window may slip.
- Tell us about anything that affects scope before we start work on it.
6. Confidentiality
We treat your store data, customer list, and business plans as confidential. We sign a mutual NDA on request. Project data is deleted 90 days after Go-Live (see Privacy Policy).
7. Intellectual property
Everything we build for you specifically (theme code, redirect map, QA plan, documentation) is your property on final payment. Our internal tooling, SOPs, and reusable code stay ours.
8. Liability
Our total liability for any claim is capped at the fees you paid us for the project in question. We are not liable for indirect, consequential, or lost-profit damages.
9. Acceptable use
You agree not to use HOIST to:
- Migrate stores selling illegal goods, weapons, or regulated substances we can't legally support.
- Impersonate a brand you don't own.
- Attack, scan, or reverse-engineer the HOIST application.
10. Termination
Either party can terminate for any reason with 30 days' notice. Sections 6 (Confidentiality), 7 (IP), 8 (Liability), and 11 (Disputes) survive termination.
11. Disputes
Governing law: Delaware, USA. Venue: state or federal courts in Wilmington, Delaware. Both parties waive jury trial.
12. Changes
We'll email everyone with an account at least 14 days before any material change to these Terms takes effect.
